Terms of Use

The following terms govern use of the Suppliers e‑Registry website.

Welcome to Media Prima Berhad's Suppliers e-Registry portal ("SUPeR"). The Terms of Use stated herein shall apply to all users of SUPeR, being suppliers, vendors or service providers of Media Prima Berhad and its subsidiary companies (collectively referred to as "Users" or "User" as the context may require) and may be amended, modified, varied or updated by Media Prima Berhad and its subsidiary companies ("MPB Group") from time to time at its sole discretion. Continued use of SUPeR after any amendment shall constitute unconditional acceptance of the revised terms.

Any breach of these Terms of Use entitles MPB Group to claim all remedies available by law and in equity for such breach, including but not limited to restricting, suspending, or permanently revoking the Users access to SUPeR. Please be sure to read the terms and conditions contained in this document carefully since any use of SUPeR constitutes your acceptance of the terms and conditions set out herein.

1. Description of Service

MPB Group provides the Users a limited, non-exclusive, revocable, and non-transferable right to access SUPeR for the purpose of registering and updating its company's information, subject to the User having authorised access credentials. to SUPeR.

SUPeR may also be used in the future, at the discretion of MPB Group, to facilitate participation in procurement exercises, quotation submissions, tender activities, Request-for-Information (RFI), Request-for-Quotation (RFQ), Request-for-Proposal (RFP), supplier onboarding, compliance verification, due diligence processes, and other online trade-related activities through SUPeR.

2. Independent Review Acknowledgement

The Users acknowledge that the Users have read, understood, and independently evaluated these Terms of Use, the Guidelines for Supplier Registration Application and all related terms referenced herein before proceeding to access SUPeR. The Users hereby agree to all terms and conditions contained herein. The Users have independently evaluated all aspects of these provisions and the desirability of using SUPeR. The Users are not relying on any representation, warranty, inducement, guarantee or statement other than those expressly set forth in these provisions. The decision to use SUPeR is made voluntarily, with full understanding of its functional limitations and governing obligations.

3. Registration, Accuracy of Information and Personal Data Protection

The Users access to SUPeR is strictly conditional upon successful registration with MPB Group. The Users warrants that all information submitted through SUPeR (including but not limited to company details, certifications, declarations and supporting documents) is true, accurate, current and complete at all times. The Users are fully responsible for the validity and ongoing accuracy of all submitted information, and acknowledged that MPB Group may at any time, at its sole discretion, restrict, prevent, suspend or terminate any access by the Users into SUPeR if MPB Group reasonably suspects that any information provided by the Users is false, misleading, inaccurate or incomplete.

The Users further consents that all data submitted through SUPeR will be processed in accordance with Media Prima Berhad | Personal Data Protection Notice and as regulated under the Personal Data Protection Act 2010.

4. Users Account, Password and Security

After successfully completing the registration process, the Users can access SUPeR using its registered User identification (User ID) and password. Upon registration, the User will be provided with these access credentials and is solely responsible for taking all reasonable measures to safeguard its access credentials. The Users must prevent misuse of its account, including access by unauthorised personnel, third parties, bots, automated scripts or malicious software.

The Users agrees to notify MPB Group immediately upon discovery or reasonable belief of any credential compromise, account hacking, unauthorised use, data breach, or security vulnerability. MPB Group will not hesitate to take any legal action against any unauthorised individuals attempting to access SUPeR for any purposes. MPB Group reserves the right to take action including forensic investigation, access log retrieval, report lodgement, credential invalidation, and cooperation with enforcement authorities, including but not limited to the Royal Malaysia Police, Malaysian Communications and Multimedia Commission, and Cybersecurity Malaysia.

The Users are entirely responsible for protecting and maintaining the confidentiality of its respective login credentialss and for all activities that occur under its account, whether it is authorised or otherwise. The Users agree to notify MPB Group of any unauthorised use of its respective login credentials immediately upon being aware of such an incident. MPB Group shall not be liable whatsoever for any such activity made or done.

5. Conduct of the Users

The User shall not misuse SUPeR, its content or system resources. Unless expressly authorised by MPB Group, the User is strictly prohibited from:

  1. extracting, scraping, crawling, storing or downloading portal content via automated or semi-automated means;
  2. reproducing, modifying, reverse-engineering, decompiling, disassembling, selling, assigning, sub-licensing or otherwise exploiting SUPeR content, code, interface logic, trade data or portal infrastructure;
  3. transferring or sharing portal access to unauthorised persons or foreign systems without prior vetted approval;
  4. using SUPeR data to compile internal or external commercial databases, resell vendor or procurement information, redistribute portal content via media, digital networks or mass-communication channels, or otherwise facilitate activities that infringe proprietary or intellectual property rights.

MPB Group may impose technical usage controls including rate-limits, upload restrictions, file size caps, request throttling, system monitoring, and access logs without prior notice.

MPB Group may at any time prevent any User from accessing and using SUPeR if MPB Group is of the opinion that:

  1. Any of the Users' activities has or is likely to be the cause of failures, interruptions, errors or defects to SUPeR and/or any part of its system; and
  2. The Users fail to follow the terms and conditions contained herein and/or other additional terms and conditions as may be advised by MPB Group from time to time.

Unless otherwise consented by MPB Group, the Users are expressly prohibited from storing, downloading, selling, reproducing, redistributing, adapting or otherwise dealing with the information contained in SUPeR except for legitimate registration, profile updating or other authorised activities through SUPeR.

The Users are also expressly prohibited from using or distributing the information obtained from SUPeR for the following purposes:

  1. compiling an internal database;
  2. commercial information redistributing or reproduction through any media or network;
  3. infringing and/or assisting any infringement of proprietary rights activities in whatever manner; and/or
  4. trading, building commercial databases or reselling such information.

The Users hereby agree that MPB Group may at any time without giving any prior notice suspend or prevent their access to SUPeR, if MPB Group believes that it is necessary to do so for the purposes of repairing, altering, modifying, updating, amending, upgrading, improving or replacing any part of SUPeR, including but not limited to planned maintenance, cybersecurity containment measures, bug resolution, system enhancements, vendor management improvements, or addressing infrastructure failures.

The User acknowledges that SUPeR and its server environment are provided on an "as available" basis, and MPB Group does not warrant that functions contained in SUPeR will be uninterrupted or error-free, that defects will be corrected, or that SUPeR or the server that makes it available will operate without downtime, interruptions, latency issues, vulnerabilities, malware, viruses or bugs.

6. Limitations of Liability

MPB Group provides SUPeR on "as is" and "as available" basis. The Users access and use SUPeR entirely at its own risks and shall at all times exercise its own judgement and skills for any transactions conducted through SUPeR and/or its contents. The Users shall be solely liable for all opinions, recommendations, forecasts, quotations, comments, decisions or actions taken based on its use of SUPeR.

To the maximum extent permitted by Malaysian and applicable international law, MPB Group makes no representations, warranties or conditions, express or implied. MPB Group disclaims any and all warranties or conditions, express, statutory and implied, including without limitation:

  1. warranties or conditions of fitness for a particular purpose, accuracy, title, quiet enjoyment, no encumbrances, no liens and non-infringement;
  2. warranties or conditions arising through course of dealing or usage of trade;
  3. warranties or conditions that access to or use of SUPeR will be uninterrupted or error-free.

There are no warranties that extend beyond the face of these Terms of Use.

In addition to other limitation of liabilities mentioned herein, in no event shall MPB Group or its subsidiaries, officers, employees and/or agents be liable to the Users for any indirect, special, punitive, incidental or consequential losses or damages of any kind, including but not limited to loss of profits, loss of data, loss of revenue or anticipated profits, loss of business, loss of opportunity, loss of goodwill or injury to reputation, losses suffered by third parties which the Users may suffer or incur or be liable for, which arises out of or in connection with:

  1. the User's breach of these Terms of Use; or
  2. the breach of any warranty (if any); or
  3. negligence; or
  4. the User's access to, use of, or inability to access or use SUPeR; or
  5. any activity conducted, or materials transmitted or intercepted, through SUPeR using the Users' identification or password; or
  6. system errors or delays, fraud, unauthorised access or dealings by third parties, cybersecurity incidents or unauthorised alteration of any data or transmission; or
  7. the procurement, sale, provision or failure of goods or services or alternative goods or services, resulting from or linked to the use of SUPeR;

whether or not MPB Group has been advised of the possibility of such loss, expense or damages.

7. Indemnity

The Users agree to indemnify and hold MPB Group, its subsidiaries, officers, employees and/or agents harmless from and against any and all claims, actions, investigations, fines, penalties, losses, expenses, liabilities, cybersecurity costs, document verification cost, litigation fees or demand, including legal, and other fees and disbursements made by any third party due to or arising from or relating to:

  1. any breach by the User of these Terms of Use;
  2. submission of false, forged, unauthorised, infringing, or unlawfully obtained information or documents;
  3. misuse of SUPeR or its content, systems, or infrastructure;
  4. any compromise, loss, or damage caused by the User's cybersecurity negligence or failure to safeguard credentials;
  5. violation by the User of any applicable laws or regulations, including but not limited to the Copyright Act 1987, Personal Data Protection Act 2010, Communications and Multimedia Act 1998, laws relating to defamation, network misuse, or proprietary system offences;
  6. any infringement of intellectual property rights or other proprietary rights of MPB Group or third parties arising from the User's actions on or through SUPeR.
8. Proprietary Rights and Intellectual Property Rights

All intellectual property subsisting within SUPeR, including but not limited to portal system architecture, source code, interface design, registry structure, procurement process flows, supplier templates, digital certificates, trademarks, service marks, and protected trade information, are exclusively owned or lawfully licensed by MPB Group and relevant technology licensors and intellectual property rights owners.

The Users acknowledge and agree that MPB Group and/or relevant third parties own these and all other intellectual property or such other proprietary rights subsisting in or used in connection with SUPeR, its system and/or any part thereof, and undertakes not to, at any time in any manner, contest or dispute such ownership of the rights by MPB Group and/or the relevant third parties.

The Users further undertake that they shall not abuse or permit the abuse of intellectual property rights and such other proprietary rights owned by MPB Group or such relevant third parties by engaging, attempting or assisting any third party to engage in any infringing activities which encroach or may encroach the rights of MPB Group or such relevant third parties, in any manner whatsoever, including but not limited to copying, altering, reproducing, adapting, translating, arranging or making available to any other third party in any manner, either directly or indirectly, any part of SUPeR, its system or any part of its contents (including any electronic materials necessary for its operations) except to the extent that and for so long as the said Users are expressly permitted to do so in accordance with these Terms of Use.

The Users acknowledges that infringement of copyright or other intellectual property rights may result in civil and criminal liability and may result in incalculable damage and/or loss to MPB Group. The Users accordingly agrees that, in addition to any other rights or remedies available to MPB Group, the User agrees that MPB Group shall be entitled to seek immediate injunctive relief to restrain any actual or apprehended infringement thereof.

The User shall not at any time issue any press release, public announcement or any statements in whatever manners concerning or mentioning MPB Group's names or inference without MPB Group prior written consent.

9. Termination

9.1 MPB Group may, at its sole discretion and without prior notice, suspend, terminate or discontinue any or all of the services offered by or through SUPeR. MPB Group may also terminate the User's access to SUPeR without liability, including in respect of any content submitted or posted by the User through SUPeR, if at any time, and without limitation:

  1. the User breaches, disputes, violates or attempts to circumvent in any way of these Terms of Use as posted in SUPeR and as modified from time to time; and/or
  2. MPB Group is unable to verify, authenticate, or reasonably rely on any information, documents, or submissions provided by the Users through SUPeR or otherwise, including where such content is unverified, unlawful, forged, inaccurate, misleading, or reputational detrimental; and/or
  3. MPB Group believes that the Users have violated or acted inconsistently with these Terms of Use, misused SUPeR, or engaged in conduct detrimental to MPB Group's reputation, systems or legal obligations; and/or
  4. the Users dispute, challenge or attempt to modify the applicability or enforceability of these Terms of Use; and/or
  5. the User submits content, engages in activity or attempts access in a manner that threatens system integrity, security or MPB Group's supplier ecosystem.

9.2 Upon termination by MPB Group, MPB Group reserves the right to:

  1. delete, purge or permanently remove any content, listings, messages, supplier data, submission records or other information connected with the Users' prior use of SUPeR;
  2. deactivate credentials, invalidate passwords, block future SUPeR access, and restrict the Users from MPB Group's supplier ecosystem, vendor management platforms and affiliated procurement networks; and
  3. refuse the Users' future access to MPB Group's related or affiliated websites, portals or digital services (where applicable).

In no event shall MPB Group be required to refund, redeem, compensate or return any content, data or materials to the Users upon the termination.

10. Severability

Each of the provisions of the Terms of Use is severable and distinct from the others and, if at any time one or more of such provisions is or becomes illegal, invalid or unenforceable in any respect under the laws of any jurisdiction, the legality, validity or enforceability of the remaining provisions shall not be affected in any way.

11. Consent to Electronic Form of Contract

By accessing and using SUPeR, the Users acknowledge and consent to the electronic form for these Terms of Use, including the provision of notice in electronic form. The Users agree that these provisions, in printed or electronic form, shall be admissible in judicial or arbitration proceedings, to the same extent and subject to the same conditions as other documents and records generated and maintained in written form. The Users consent to electronic form extends to all written notices sent by MPB Group.

12. Waiver

The waiver of any breach or default of obligations under these Terms of Use will not constitute a waiver of any subsequent breach or default and will not act to amend or negate the rights of the waiving party.

13. Survival

The provisions herein dealing directly or indirectly with intellectual property, disclaimers of warranties, imitation of liability, compliance with laws and regulations, security, dispute resolution and use restrictions and prohibitions continue to apply and shall survive the termination or expiration of any relationship between the Users and MPB Group.

14. Laws

The Users agree as a condition of use and access to SUPeR to immediately notify MPB Group using the methods outlined in these Terms of Use if the Users become aware of any unauthorised, improper or unlawful use or threatened use of SUPeR. The Users further agree to comply with and not contravene any such laws, subsidiary legislations, regulations, conditions or restrictions applicable or in connection with the use of SUPeR including without limitation any laws relating to defamation, sedition, cybersecurity, intellectual property and revenue laws in Malaysia. This Terms of Use shall be governed by and construed in accordance with the laws of Malaysia, and the parties hereby submit to the non-exclusive jurisdiction of the courts of Malaysia.

15. Amendment

MPB Group may amend the Terms of Use and/or introduce additional terms and conditions at any time and from time to time by posting these amendments on SUPeR. The amended terms and conditions shall become effective immediately unless otherwise provided by us, and it is your responsibility to monitor SUPeR for notices of such amendments and shall be binding on you if you continue to use or access SUPeR on or after the effective date of variation

16. Miscellaneous
  1. The User shall be liable to pay for all costs and expenses that may be incurred in accessing and using SUPeR (where applicable).
  2. There is no agency, employment, joint-venture or partnership is created hereby or between the parties hereto.
